1. What this is

LokaDB Cloud ("the Service") is a hosted control panel (app.lokadb.com), API (api.lokadb.com) and customer portal for managing the LokaDB open-source software: it lets you see organizations, start and monitor moves, manage agents and view statistics. The open-source software itself (the proxy, relay, agent, runner and compatibility check) is licensed under Apache-2.0 and is not governed by these Terms.

By creating an account you accept these Terms and the Privacy Policy. The versions you accepted and the time are recorded.

2. Accounts

  1. You sign in with an e-mail link, Google or GitHub. You give accurate information and keep your sign-in secure. You are responsible for what happens under your account.
  2. You use the Service on behalf of an organization and confirm that you are authorised to bind it. "You" means that organization.
  3. You must be of legal age to contract in your jurisdiction.

3. The Service and early access

  1. The Service is in early access. Features change, and some are incomplete. We give no availability commitment unless an Enterprise agreement states one.
  2. Support is by e-mail to [email protected]. Target first reply: within 2 working days on Starter, within 1 working day on Growth; on Enterprise as the service-level agreement states. These are targets, not guarantees, and Community has no support commitment.
  3. The Service manages software that runs in your environment. Your data and database passwords stay with you; the Service does not receive them. You remain responsible for your databases, backups, access control and your application's authorization, and for deciding whether a move is appropriate. Read the documented limits of the software, including what it does not isolate, before relying on it.
  4. If the Service is unavailable, the proxy, the tunnel and your data continue to work; only management through the Service stops.

4. Plans and fees

  1. Plans: Community (open-source software, no charge, no Service account required); Starter, USD 299 per month, up to 3 organizations; Growth, USD 999 per month, up to 20 organizations, with statistics and monitoring; Enterprise, from USD 2,500 per month, with a service-level agreement. Each organization above the plan limit is USD 49 per month. There are no limits on rows, data volume or queries.
  2. Fees are in US dollars, exclusive of taxes, invoiced in advance for each month and payable within number days. Invoices are issued manually; the payment method may change with notice.
  3. We may change prices with 30 days' notice; the change applies from the next billing period.
  4. Fees already paid are non-refundable except where the law requires otherwise or state a refund policy.

5. Acceptable use

You do not: use the Service to break the law or others' rights; attempt to disrupt, probe or bypass the Service's security; use it to manage databases you have no right to operate; resell access to the Service without our written agreement; or upload malicious content.

6. Intellectual property

We own the Service and the closed-source parts of it. Open-source components are licensed under their own licences (Apache-2.0 for the LokaDB core). You own your data and your databases; we claim no rights in them. You grant us the limited right to process the operational data you enter into the Service in order to provide it.

7. Confidentiality

Each side keeps the other's non-public information confidential and uses it only for this relationship, except where disclosure is required by law.

8. Data protection

How we handle personal data is described in the Privacy Policy. Where we process personal data on your behalf, the Data Processing Agreement applies.

9. Warranties and liability

  1. The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose and uninterrupted or error-free operation.
  2. To the extent the law allows, we are not liable for indirect or consequential loss, loss of profit, loss of data held in your own systems, or business interruption.
  3. Our total liability arising out of the Service in any twelve months is limited to the fees you paid for the Service in the preceding twelve months or another cap set by counsel.
  4. Nothing here limits liability that cannot be limited by law.

10. Term and termination

  1. You may stop using the Service and close your account at any time. Either side may terminate a paid plan at the end of a billing month with 14 days' notice.
  2. We may suspend or terminate access for a material breach of these Terms, after notice where practicable.
  3. On termination, we delete or return the account's operational data as described in the Privacy Policy. Because your data and passwords were never with us, nothing of that kind needs to be returned. The open-source software keeps working.

11. Changes to these Terms

We may update these Terms. We tell you by e-mail or in the panel 30 days before a material change takes effect; continuing to use the Service after that date, or accepting the new version when asked, means you agree. Earlier versions are kept.

12. Governing law and disputes

These Terms are governed by the law of jurisdiction. Disputes are submitted to courts or arbitration, place and language.

13. General

These Terms, the Privacy Policy and (where it applies) the Data Processing Agreement are the whole agreement about the Service. If a clause is unenforceable, the rest remains. Notices go to the e-mail address of your account and to [email protected].
